By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to the following terms and conditions (“Terms of Service”, “Terms”). These Terms of Service apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

1. SERVICES.
a)K&Z Cleaning Services will provide the Services established on this page, which will be provided to the client.
b) In addition to these Terms, Customer agrees to follow all rules, procedures, terms and conditions governing any particular Site (as defined herein) or Service.
c) Customer agrees that K&Z Cleaning Services may terminate Customer's access rights to the Services if Customer determines, in its sole discretion, that Customer has violated these Terms or any other applicable terms and conditions or has used the Services to any inappropriate purpose.
2. TERMINATION AND EARLY TERMINATION.
K&Z Cleaning Services, may terminate the Agreement and/or Customer's use of the Services or Sites immediately: (i) in the event that Customer breaches any term of the Agreement or these Terms, including but not limited to Customer do not make all payments when due; (ii) in the event that K&Z Cleaning Services no longer has the right or license to provide Sites and/or Services; or (iii) for any other reason that K&Z Cleaning Services, in its sole discretion, determines to meet its business objectives and goals. In the event of termination of the Contract, without limitation of the rights of K&Z Cleaning Services, the Client will immediately pay all amounts due from the date of such termination.
3. REPRESENTATIONS AND CUSTOMER AGREEMENTS.
a) Customer represents and warrants that any and all materials or content provided or produced by Customer hereunder (“Customer Content”): (a) will not violate any applicable law, regulation or ordinance; (b) will not infringe or violate in any way any copyright, patent, trademark, trade secret or other intellectual property right of any third party; (c) will not violate any duty, or rights, of any person or entity, including, but not limited to, rights of publicity or privacy, or have not resulted in any consumer fraud, product liability, tort, breach of contract, injury or damage or harm of any kind to any person or entity; (d) will not contain material or information that constitutes defamation, slander or slander, or that threatens or invades the rights of any third party; and (e) must not contain any text or other material that is false or misleading. 4. PRIVACY; USE OF DATA; PROPERTY.
a) Customer understands and agrees that K&Z Cleaning Services may use cookies, web beacons or other technologies to collect non-personally identifiable data in connection with the Services and these Terms, which may include, but is not limited to, information such as the IP address of a web user, web pages viewed by a web user, date and time, domain type, and responses of a web user to an advertisement. Customer represents and warrants that contracting the Services provided by K&Z Cleaning Services through the Sites does not violate Customer's privacy statement.
b) Without limitation, Ambienta Galería de Espacios has the right to use the Client's personal information, solely for what is established in the services agreed between the parties. Title and all proprietary rights in and to the Services and Sites, together with any and all ideas, concepts, campaign optimizations, computer programs, patents, trademarks, copyrights and other technologies they support or otherwise relate to with the operation of the Services and the Sites (collectively, the "Materials") shall at all times remain exclusively with K&Z Cleaning Services and/or its affiliates and suppliers, as applicable. Customer has not acquired any ownership interest in the Materials and will not acquire any ownership interest in the Materials due to the Agreement.
5. LIMITATION OF LIABILITY.
K&Z Cleaning Services SHALL HAVE NO LIABILITY TO CUSTOMER FOR LOST PROFITS OR OTHER CONSEQUENTIAL, SPECIAL, INDIRECT OR INCIDENTAL DAMAGES, BASED ON A CLAIM OF ANY KIND OR NATURE (INCLUDING, BUT NOT LIMITED TO, CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY), EVEN IF THE POSSIBILITY OF SUCH DAMAGES IS ADVISED.
6. TRANSACTION PROCESSING.
SMPS Merchant Platform K&Z Cleaning Services S.A DE C.V. will be responsible for the processing of payment transactions carried out by K&Z Cleaning Services. 7. NO EMPLOYMENT RELATIONSHIP, ASSIGNMENT.
(a) The parties are independent contractors and the Agreement shall not be construed to create any agency, partnership, joint venture or other relationship between the parties.
(b) Customer shall not, without the prior written consent of K&Z Cleaning Services 6, assign or transfer the Agreement or any of its rights hereunder, whether by operation of law or otherwise. Customer agrees that any of its agents, representatives, employees, or any person or entity acting on its behalf in connection with the use of the Services, will be bound by and comply with these Terms.
8. JURISDICTION
(a) Any dispute or controversy arising out of or relating to any interpretation, construction, performance or breach of these Terms and/or use by Customers of the Sites or Services shall be governed exclusively by the laws of the City of K&Z Cleaning Services or without regard to its conflict of law provisions. The parties agree to submit to the personal jurisdiction in the federal courts of the City of K&Z Cleaning Services or, which will serve as exclusive venue.
